Gretta focuses on international commercial arbitration and investor state disputes across industries including energy (with emphasis on renewables), construction, financial services and infrastructure.   She has played a leading role in some of our firm’s biggest cases over the years, including recent victories involving such diverse subject matters as wind turbine blade technology, hydro dam construction and allegations of fraud in the automotive industry.  Gretta is also a recognized leader in the international arbitration community – she was appointed to the Executive Board of the ICDR young practitioners group (ICDR Y&I), serves on CPR’s Y-ADR Steering Committee and is an adjunct professor at New York University Law School, where she also co-coaches the Foreign Direct Investment and Vis International Commercial Arbitration moot court teams. She is also Chair of the Board of the International Commercial Arbitration Law Alumni Association of Stockholm University, of which she was selected as Outstanding Alumni in 2019.  Gretta is a frequent speaker, lecturer and author on pressing international arbitration issues.  She is co-author of Enforcement of Foreign Arbitral Awards and Judgments in New York.  Who’s Who Legal has recognized Gretta as one of the Most Highly Regarded Future Leaders in the Americas in their Arbitration Report for several years in a row.

Gretta, who joined Chaffetz Lindsey in 2012 and was promoted to Counsel in 2018, earned her J.D., magna cum laude, from American University’s Washington College of Law and her LL.M. in International Commercial Arbitration Law, from Stockholm University.  She holds a B.A. in English and Government & Politics from University of Maryland.

Ted represents U.S. and international clients in complex litigation and arbitration across a range of industries, including banking and financial services, insurance, media and technology, and construction.  Ted spent the month of October 2020 in Zurich, Switzerland as a key team member on a confidential Swiss arbitration that resulted in a decisive victory for Chaffetz Lindsey’s client. Ted’s clients recognize his leadership, intelligence and superb case management skills. A graduate of St. John’s University School of Law (J.D.) and Columbia University (B.A.), Ted began his career at Simpson Thacher & Bartlett LLP before joining Chaffetz Lindsey in 2011.

J.D. Anders Promoted to Counsel

J.D. joined the firm in 2013 and represents clients in complex litigation in state and federal court, arbitration proceedings, and criminal and regulatory investigations.

SDNY Rules in Favor of Chaffetz Lindsey Client The Insurance Company of the State of Pennsylvania

July 2020 – Chaffetz Lindsey client, AIG insurer The Insurance Company of the State of Pennsylvania (ICSOP), recently won summary judgment on its claims for reinsurance coverage for payments to Dole Food Company related to environmental liabilities going back to the 1960s.  Manhattan federal judge Laura Taylor Swain issued the ruling.

Judge Swain ruled Thursday that London-based reinsurer Equitas Insurance Ltd. must cover a $7.25 million share of ICSOP’s $20 million payment to Dole under a three-year umbrella policy issued for 1968-1971.  ICSOP made the payment to cover claims stemming from homeowners’ claims for alleged environmental pollution at a California housing tract developed by a Dole subsidiary in the 1960s on land previously occupied by an oil tank farm.  ICSOP had purchased two facultative reinsurance policies covering the umbrella policy from Equitas’s predecessors, underwriters at Lloyd’s of London.  ICSOP paid the full limit under the umbrella policy towards Dole’s liability for 44 years of continuous pollution after Dole sought coverage under the “all sums” doctrine, which allows a policyholder to recover up to the full policy limits under any policy issued during the period of contamination.  Dole’s other policies contained pollution exclusions barring coverage.

Equitas denied ICSOP’s reinsurance claims, arguing that under applicable English law, it was under no obligation to honor ICSOP’s settlement with Dole because English law does not recognize the all sums doctrine, and the reinsurance policies therefore could only cover losses actually occurring within the three-year policy period.

Judge Swain granted ICSOP’s motion for summary judgment, and denied Equitas’s cross-motion, accepting Chaffetz Lindsey’s argument that, under the English principle of “back-to-back coverage,” the reinsurance coverage was coextensive with the coverage under the ICSOP policy.  Because the all sums doctrine applied to the ICSOP policy under its governing Hawaii law, it also applied to the reinsurance policies.  Judge Swain held that, “[t]he mere fact that English law governs the reinsurance policies, including their stated policy periods of three years, is not sufficient to overcome the presumption English law applies in favor of back-to-back coverage and does not excuse [Equitas’s] obligation to indemnify ICSOP under the law governing the ICSOP-Dole policy.”

Judge Swain also rejected Equitas’s argument that ICSOP’s alleged failure to provide timely notice of its claims excused Equitas from paying losses under the reinsurance policies.  She held that, even if notice were late, Equitas failed to present any evidence that ICSOP “acted with ‘extreme dishonesty’ such that EIL may have been ‘seriously prejudiced,’” as required to support its late-notice defense.

Second Circuit Reverses $64 Million Jury Verdict and Holds in Favor of Chaffetz Lindsey Client Fireman’s Fund

April 2020 – On Tuesday, April 28th, the United States Court of Appeals for the Second Circuit unanimously held in favor of Fireman’s Fund Insurance Company, reversing a jury verdict that awarded Utica Mutual Insurance Company $64 million.  Chaffetz Lindsey represented Fireman’s Fund in the appeal.

The core issue in the case was whether Fireman’s Fund could rely on the plain language of the umbrella policies it reinsured – as incorporated into the reinsurance contracts by the following form provision — to show that the claims at issue were not covered.  The Second Circuit agreed with Fireman’s Fund that it could.

In dispute were seven facultative reinsurance contracts that Fireman’s Fund issued to Utica between 1966-72.  Each of those contracts reinsured an umbrella insurance policy that Utica issued to Goulds Pumps, Inc.  Importantly, the umbrella policies stated that they applied only to losses in excess of the underlying limits stated on a Schedule of Underlying Insurance.  Those Schedules to the umbrella policies, however, listed an underlying per person limit for bodily injury claims, but not an aggregate limit.  The underlying primary policies – which were also issued by Utica – were lost.

Goulds faced thousands of bodily injury claims arising out of asbestos in its products, which Utica covered.  Ultimately, Utica settled its coverage obligations.  Utica’s settlement agreement with Goulds stipulated that the missing primary policies included aggregate limits for bodily injury claims, and that those aggregate limits were exhausted.  Based on that stipulation, Utica allocated the settlement to its umbrella policies.  It then billed a share of those losses to Fireman’s Fund.

Utica’s position was that, under the follow-the-settlements provisions of the reinsurance contracts, Fireman’s Fund was bound by this allocation to the umbrella policies.  For its part, Fireman’s Fund argued that, based on the Schedule of Underlying Insurance, the umbrella policies did not attach in excess of an aggregate limit for bodily injury.  For that reason, the umbrella policies simply did not cover the relatively small individual asbestos claims comprising the bulk of the settlement.  And, because the reinsurance contracts incorporated the terms of the umbrella policies through the following form provision, the reinsurance contracts did not cover those claims either.

The Second Circuit agreed with Fireman’s Fund.  In a unanimous decision, the Court reversed the jury verdict, holding that, like any other contract, the reinsurance contracts must be interpreted by their plain terms. “Given the unambiguous language in the umbrella policies, Fireman’s Fund had no obligation to pay for bodily injury claims that did not exceed bodily injury limits identified in the Schedules.”

The Second Circuit rejected Utica’s argument that the “follow the settlements” clause prevented Fireman’s Fund from questioning Utica’s interpretation of the umbrella policies.  While a follow-the-settlements clause prevents a reinsurer from challenging a reinsured’s settlement decision, it does not override the language of the reinsurance contract.  The court found that “Utica’s theory directly contradicts the relevant language in the reinsurance contracts and umbrella policies.”

“This is an important ruling that demonstrates the respect the Second Circuit gives to clear contract language,” said Peter Chaffetz.  He added, “this case should not have gone to a jury, and we are gratified that the appellate court agreed with us.”

Chaffetz Lindsey Promotes Five Team Members

New York, NY – January 7, 2020 – Chaffetz Lindsey, a leading New York-based arbitration and litigation boutique, announces the promotion of five team members to new roles in the firm.  The firm promoted Andrew (Drew) Poplinger to partner, Rainbow Willard to counsel, and Joshua (J.D.) Anders, Karen Baswell and Ted DeBonis to Senior Attorney.  These promotions follow the firm’s recruitment of two prominent lateral partners, Caline Mouawad and Alan Lipkin.

Drew joined the firm in September 2012, following his clerkship with the Honorable Richard K. Eaton of the United States Court of International Trade. He was promoted to counsel in 2017.  He represents clients in commercial disputes before state and federal courts, and before all major arbitral institutions and in ad hoc disputes in a variety of industries, including insurance and reinsurance, oil and gas, construction and financial services.  Legal 500 USA has recognized Drew‘s work, naming him one of six “Next Generation Attorneys” nationwide for Advice to Insurers.

Drew is admitted to practice in New York and Texas.  He earned his JD summa cum laude in 2006 from Albany Law School, where he was a senior editor for the Albany Law Review. He obtained his BA and MA in political communication from the State University of New York at Albany in 2003.

Rainbow regularly appears in front of international arbitration tribunals and U.S. courts.  One of her great talents is the ability to simplify case presentation and strategy in complex, cross-border matters. She has also helped several clients navigate parallel proceedings in international arbitration and national courts in a host of foreign jurisdictions.  Rainbow is fluent in English, Spanish, and Kaqchikel Maya.

Prior to joining Chaffetz Lindsey in 2017, Rainbow was a senior associate in the international arbitration group of Allen & Overy LLP, where she practiced in the London and New York offices.  Rainbow clerked for the Honorable Kathleen M. Williams of the United States District Court for the Southern District of Florida and served as an assistant federal public defender in the Southern District of Florida, where she appeared as lead defense counsel in more than 100 federal felony cases.  She earned her JD with high honors from Emory University School of Law, an MA in Linguistics from the University of California, Berkeley, and her BA cum laude from Tulane University’s Newcomb College.  Rainbow serves as a member of the Global Steering Committee for the Chartered Institute of Arbitrators Young Members Group, and as Secretary to the Executive Committee of the New York International Arbitration Center.

SDNY Rules in Favor of Chaffetz Lindsey Client Marvel Entertainment

August 2019 – The U.S. District Court for the Southern District of New York ruled in favor of Chaffetz Lindsey client Marvel Entertainment LLC to dismiss a copyright lawsuit from Ben and Ray Lai, artists and owners of Horizon Comics Productions, Inc.

In 2016, Horizon filed a lawsuit claiming the mechanized suit from the “Iron Man” franchise was appropriated by Marvel designers from a character in an earlier comic book series, “Radix.” In 2017, the judge dismissed all accusations related to the way the suit appeared in the movie, but allowed Horizon to continue the lawsuit over claims the design of an “Iron Man 3” movie poster was ripped off from the series.

The judge ultimately ruled that “there is virtually no evidence in the record that shows any one of these individuals either would have seen the [earlier work] or would have been involved in the Iron Man 3 poster design, let alone both.” Additionally, the judge wrote that “in contrast to Horizon’s virtually non-existent evidence of copying, Marvel has introduced unrebutted evidence showing its independent creation of the Iron Man 3 poster.”

Renowned Trial Lawyer Sanford Litvack Joins Chaffetz Lindsey

February 2019 – Sanford (Sandy) Litvack, a renowned trial lawyer and former general counsel and vice-chairman of the Walt Disney Company, has become a partner of Chaffetz Lindsey, a leading trial and arbitration boutique in New York.

In addition to his courtroom experience, Litvack also spent a decade at Disney, starting as general counsel in 1991 and rising to become chief of corporate operations and vice chairman of the board of directors.  While there, he spearheaded the acquisition of ABC and ESPN and oversaw the restructuring of Euro Disney. He has served as a director of both Disney and Hewlett Packard.  That experience has made him an invaluable strategic advisor to other boards and senior management.

Prior to joining Chaffetz Lindsey, Gretta was an Associate at Mayer Brown, Legal Counsel at the Arbitration Institute of the Stockholm Chamber of Commerce, and a Visiting Lecturer at Stockholm University.  Gretta is Secretary of the International Commercial Disputes Committee of the New York City Bar and on the Global Advisory Board of the AAA/ICDR young practitioners group. She is an adjunct professor at New York University Law School, where she also co-coaches the Foreign Direct Investment and Vis International Commercial Arbitration moot court teams.  Gretta regularly speaks at international arbitration-related conferences and co-authored the recently published Enforcement of Foreign Arbitral Awards and Judgments in New York (Kluwer 2018).  She earned her J.D., magna cum laude, from American University’s Washington College of Law in 2010, where she was the Articles Editor for the American University Law Review. She received her LL.M. in International Commercial Arbitration Law at Stockholm University in 2012 and graduated with a B.A., cum laude, from University of Maryland in 2005.

Fordham Law School Appoints Cia Moss Co-chair of Small to Midsize Law Firm Leaders Dean’s Advisory Council

November 2018 – Fordham Law School hosted a meeting of its Small to Midsize Law Firm Leaders Dean’s Advisory Council on November 12th. Chaffetz Lindsey Partner Cia Moss and Wollmuth Maher & Deutsch Partner Bill Dahill were introduced as co-chairs of the Council. The group, composed of alumni in leadership roles at small to midsize law firms, discusses current issues related to Fordham Law School, and ways to engage Law School alumni at small to midsize firms.
