October 2016 – Latinvex has released its 2016 rankings of Top Law Firms in Latin America.  Chaffetz Lindsey ranks eighth in the “Top Arbitration Firms” category, which includes Freshfields, Foley Hoag, White & Case, King & Spalding, Dechert, Quinn Emmanuel, Astigarraga Davis, Covington & Burling, and Bryan Cave in the top 10.

The editorial and research staff of Latinvex ranks the top international law firms in Latin America, both overall and in 13 subcategories (including arbitration, banking & finance, capital markets, corporate/M&A, energy, environment, FCPA & fraud, insurance, labor, litigation, mining,  project finance and tax & trade).  Their rankings are based on a combination of factors, including value, prominence and scope of work between July 2015 and July 2016 and references among clients and peers.  Research is primarily based on an exclusive Latinvex survey among the firms.

Ted DeBonis Competes in SECOND IRONMAN in Nine Weeks

September 2016 – Most people agree that doing an Ironman race is an extraordinary feat.  But to do two Ironman races within one nine-week window seems exceptionally astounding.  Do you know anyone who would do such a thing?  Chaffetz Lindsey’s own Ted DeBonis, that’s who.

For those who don’t know, and for those who could use the refresher, a full Ironman race is comprised of a 2.4 mile swim, a 112 mile bike ride, and a 26.2 mile run. Anyone who volunteers to take on the challenge of participating in one Ironman is surely committed, but one who does two – virtually back-to-back – is certainly inspired.

91_m-100729174-DIGITAL_HIGHRES-1320_018826-2649327Ted participated in Ironman Lake Placid on July 24th and will be competing in Ironman Maryland on Saturday, October 1st.  Though he has done many shorter distance events, as well as some half-distance Ironman events, Lake Placid was his first full-distance Ironman.  Ted registered for Lake Placid early last year as part of a multi-year plan to build up to that distance.  Very shortly after that, his daughter went through a terrible health episode that required a week-long stay in the hospital.  After extensive testing, she was diagnosed with an autoimmune disease called Crohn’s, which causes stomach inflammation that results in horribly painful stomach aches and difficulty digesting food.

In an effort to deal with their daughter’s diagnosis, Ted and his wife, Elyse, read everything they could about Crohn’s, spoke with everyone they could and took every affirmative, positive step they knew to take. For Ted, one meaningful step he knew he could take was joining Team Challenge, which is the fundraising endurance team for the Crohn’s and Colitis Foundation of America.

Team Challenge was participating in the Lake Placid Ironman in July and will be participating in Ironman Maryland this weekend. According to Ted, signing on for that second race seemed a natural thing for him to do.

“It’s provided me with a forum to talk and learn about what my daughter faces, a way to bring attention to this illness, and I hope it demonstrates strength, hope, optimism for her and others in her position.”

In case anyone is wondering, Ironman training is really hard, not just physically but mentally. It requires a lot more than sitting on a bike for four to five hours a couple days a week.  It requires long-term dedication and long-term build-up to get the body and mind ready for the challenge of that 11, 12 or 15-hour day.  The build-up must be slow and patient with gradual development, or one’s body won’t adapt well to the demands.

Ted has been building up to the Ironman distance for two years. This includes doing eight shorter distance races last year, which were intended to help him acclimatize to long-distance endurance racing.  With that background, he had a six-month period leading up to the Lake Placid race in which he built up the distance to swim, bike, and run, taking care to build slowly to avoid injury.  Ultimately, three weeks from the race, he was swimming up to six miles a week, biking three or four days a week (with at least one ride of 80 miles), and running two days a week (with one run at 16 miles).

Fun Facts About Ted's Training_2When asked about how his first Ironman experience went, he said, “I really couldn’t have scripted it better. I saw my wife and daughter at Mile 25 of the run, and they were so excited to find me.  I know I was physically exhausted, but emotionally and mentally I was on such a high from the crowd’s support and that feeling of being nearly done that I wasn’t even aware of my physical state.  I hugged my wife and daughter, and my daughter ran to the finish line.  Mike Reilly – the famous “Voice of Ironman” – called me in by saying ‘Come on home Ted.  You’re an Ironman!’ And my daughter was there with me for that incredibly emotional experience.  I have a picture of the two of us at the finish that’s really one of the most precious things I have.”

I asked Ted to tell me his favorite part of his training experience. “That’s an easy one,” he said.  “Being a part of Team Challenge and participating in Ironman Lake Placid has allowed me to be a part of a tremendous community of people.  The positive energy, enthusiasm, and demonstration of human spirit at these events is awesome.

“You feel that from the racers, the volunteers, and the spectators.  It seems like everyone has a story like mine – they’re motivated by some event or challenge in their life, they’ve overcome something that’s inspired them to show the strength required to do this race, they’re reacting positively and proactively for themselves and others.  And the support and respect that the members of the community provide to others is really unique.

“I raced with a man in Lake Placid who was diagnosed with colitis in March 2015 and lost 40 pounds.  He was hours away from massive, invasive surgery that would have changed his life.  But he overcame these physical challenges, dedicated himself to becoming healthy and fit, and finished Ironman Maryland seven months later in an incredible 11 hours.  I can’t think of other communities where you are routinely exposed to stories like that or positive responses to challenge like that.”

I couldn’t help but ask what he has liked the least.

“It’s easy to say the long training sessions when I’m tired or less motivated. However, despite those long sessions, I’ve always been able to think back to my reasons for the training — my goals, the people who I know are supporting me — to refuel my motivation.  For me, the toughest part is the selfishness that the training requires.

“With shorter distances, you can miss training days, work a little less hard, not eat right, and such but you can still get through fine.  With Ironman, the little things can build up and ruin your day, so you have to be careful to stick to your plan (training, nutrition, etc.), because there’s much less wiggle room.  That’s really what sets Ironman apart from other triathlons.  And that requires a certain amount of selfishness regarding your time.  It’s hard to maintain that discipline over a long training period.  You have to be very single-minded.”

Ted has some advice for anyone considering training for an Ironman for the first time. “Go slow and be patient.  You hear about ‘off the couch’ Ironman finishers, but I think it’s rare and definitely ill-advised.

“You get 17 hours to complete the race, and you can do that with relatively little fitness coming into a good training plan.  But it’s a recipe for injury and short-term involvement.  A much smarter approach is to build up to Ironman by doing a lot of running – half marathons and marathons – over a period of one to two years, learning to swim with good technique and building your base over a period of time, and biking greater and greater distances so that mentally and physically you’re prepared for not only the six or seven hours on race day, but all those lonely hours on the bike leading up.  That’s the best way to allow your body to adapt to what you’re asking of it.

“It’s also helpful to get as many short triathlons under your belt as possible because you learn the rhythm of the day, the feel of moving from event to event, the feel of running off the bike, which is really awful until you get used to pushing through that feeling.”

Clearly the rigorous training schedule requires a considerable time commitment throughout the week in addition to the weekends, so I asked him about how his work schedule was impacted.

“Chaffetz Lindsey was a corporate sponsor of Team Challenge this year.  The firm contributed to the team’s fundraising for the Crohn’s and Colitis Foundation.  The financial help was of course very appreciated by Team Challenge and me, and I was proud to have the firm’s name on the back of my jersey at Lake Placid.

“For me personally what was more significant was the non-financial support.  The firm’s partners expressed genuine interest in my training and racing.  I frequently discussed my weekend training or other aspects of my participation with Team Challenge.  There were also late mornings at the peak of the training cycle, when I had to get on my bike for a few hours and shift my work schedule to later in the day.  My work colleagues were always understanding.  It felt great to experience that support and understanding.  Most meaningful to me by far was the support and empathy I experienced when my daughter was first diagnosed with Crohn’s.  I felt confident that I could have asked the world of the firm at that point and it would have been given.”

I saved the biggest question for last. Will he do this again next year?

“Yes.  I’m already registered for Lake Placid 2017 and will register for Ironman Arizona – which is during Thanksgiving week – when registration opens.”

Ted doesn’t know this, but I reached out to his wife and children to get their thoughts on his tremendous commitment to completing two Ironman races.

His wife Elyse said, “I am filled with deep respect for my husband who has dedicated his time to support a cause in the name of our daughter. There is no greater gift than the gift of our time and Ted has given multiple years of training time in support of Caty and the Crohn’s foundation. I now have two heros-my daughter and my husband.”

From his daughter, Caty, “I feel very honored that my Dad has dedicated his time in my name to raise money and awareness for the Crohn’s foundation. This is yet another way my father has stood by me and is always there for me. I love him very much and am very proud and thankful.”

According to Jack, Ted’s son, “I think what my father is doing in the name of Caty is incredible. Everyone should take a page from his book and be as selfless in their love and dedication to their family. I love you Dad and am very proud of you.”

Chambers Latin America 2017 Recognizes Chaffetz Lindsey’s Top-Tier International Arbitration Practice

September 2016 – Chambers Latin America has released their 2017 edition, and Chaffetz Lindsey’s International Arbitration practice continues to be top-ranked in the region. Partners David Lindsey, James Hosking and Aníbal Sabater were highlighted as notable practitioners.

According to the Chambers Latin America ranking summary, James Hosking was commended for having “vast experience and commercial approach.”  Clients also “praise his focus ‘on achieving the best possible outcome for the business.'”

“The ‘outstanding’ Aníbal Martin Sabater is well respected by market commentators for his abilities in Latin America-related disputes, as well as his good relationships with clients.”

While David Lindsey was noted for being “extremely creative when providing alternative solutions to problems.”

GAR Highlights Aníbal Sabater’s Role as Emergency Arbitrator in Prominent Mining Dispute

August 2016 –  Under the headline “Brazil’s CCX settles Colombian coal fight,” Global Arbitration Review published a story on August 23rd discussing CCX’s US$125 million ICC arbitration with Turkish conglomerate Yildirim Holding.  According to GAR, the dispute concerned several mining assets in northern Colombia, including fifth-largest coal deposit in the world.

According to GAR, “CCX had sought to sell the assets for US$450 million in 2013 as part of a series of divestments . . . Yildirim agreed in March 2014 to buy the assets from CCX for US$125 million, a deal that Bloomberg described as a “fire sale”. The Turkish group paid an initial US$35 million and was to pay the remainder upon the transfer of the assets, which was expected to happen by the end of that year. But the mining titles were not all transferred by the scheduled date, leading Yildirim to lodge an ICC claim in March 2015 seeking to compel CCX to fulfil all conditions to closing.”   GAR notes that Yildirim filed a request for emergency relief after CCX received an unsolicited US$170 million bid for the assets from a group of investors led by US private equity group Blackstone. In its request Yildirim reportedly sought an emergency order to prevent CCX from engaging in talks with potential third-party buyers.  CCX opposed the request.

As GAR’s story notes, Chaffetz Lindsey partner Aníbal Sabater acted as emergency arbitrator in the matter and issued in April 2015 an emergency order disposing of Yildirim’s application and CCX’s opposition thereto.

Aníbal frequently acts as counsel and arbitrator in complex matters under all major international arbitration rules.  Actively involved in professional organizations, Aníbal is the chair of the New York International Arbitration Center’s Programs Committee, a Fellow of the Chartered Institute of Arbitrators, and a Vice President of the American Branch of the International Law Association.  He was also a member of the committee that worked on the first ever ICDR expedited procedures, and is a member of the ICC Taskforce on Financial Institutions and the ICC Taskforce on Emergency Arbitrator Proceedings.

Commisa v. Pemex: Second Circuit Confirms Arbitration Award Vacated At Its Seat

August 2016 – Last week the U.S. Court of Appeals for the Second Circuit issued a long-awaited ruling in which it:  (i) enforced an arbitral award even though it had been set aside by the courts of the seat of the arbitration; and (ii) re-affirmed the principle that state-owned corporations are entitled to invoke the due process protections of the U.S. Constitution so long as they are not the “alter ego” of the state itself.

The deference issue.  U.S. courts have traditionally deferred to decisions by the courts of the “seat” – that is, where the arbitration took place – to set aside or vacate an arbitration award.  Nonetheless, some U.S. courts previously recognized a potential limited exception for “extraordinary circumstances” where such deference would be “repugnant to fundamental notions of what is decent and just.”  See, e.g., TermoRio v. Electranta, 487 F. 3d 928, 938 (D.C. Cir. 2007).  Until now, however, no court had found that a case met the burden to invoke that exception.[1]

The Second Circuit held that such “extraordinary circumstances” did exist in Corporación Mexicana de Mantenimiento Integral v. Pemex-Exploración Y Producción, No. 13-4022 (2d Cir. Aug. 2, 2016) (“Pemex“).  The case followed a long fight between Commisa, a Mexican subsidiary of U.S. corporation KBR, and Pemex, a subsidiary of the Mexican state-owned oil corporation.  Just before the arbitral tribunal issued a $300 million award in favor of Commisa, Mexico passed two laws that directly affected the dispute.  Those laws: (i) gave exclusive jurisdiction to Mexico’s tax court over claims relating to public contracts; and (ii) provided that a state-owned entity’s decision to exercise rights of “administrative rescission,” the very claim at issue in the arbitration, was not subject to arbitration.

Pemex sought vacatur of the arbitration award in Mexico and obtained a ruling that Commisa’s claims were not arbitrable under the newly enacted laws.  Commisa petitioned for and obtained confirmation of the same award in the Southern District of New York.  The district court held that the retroactive application of newly enacted laws by the Mexican courts effectively deprived Commisa of any forum for its claims.  Hence, the Mexican court’s decision was “repugnant” to U.S. public policy principles and was not entitled to deference.  The Second Circuit affirmed, agreeing that the unique facts in Pemex made this an “extraordinary” case in which the award should be enforced despite the Mexican set-aside decision.

Ultimately, the Pemex decision does not signal a change in the way U.S. courts will view decisions to vacate arbitral awards at the seat.  Instead, it illustrates the extraordinary circumstances that will be required for a U.S. court to consider a decision “repugnant” to U.S. public policy principles.  Future courts are unlikely to follow the result in Pemex absent similarly extreme facts.

The due process issue.  While the ruling on confirmation has received the most press, the Second Circuit also weighed in on a second important issue:  whether state-owned entities are entitled to invoke the due process protections of the U.S. Constitution in contesting personal jurisdiction of U.S. courts.  In the traditional analysis, a foreign state-owned corporation enjoys due process protections, while a foreign state does not.  Here, the Second Circuit found that Pemex should be treated as the Mexican state, because Pemex itself had argued that it was “functionally the Mexican government” in challenging enforcement of the award.[2]  Therefore, it concluded that Pemex was not entitled to due process protections.

Importantly, however, the Second Circuit specifically recognized that state-owned entities are presumed to be separate from the state, and therefore may assert due process challenges to personal jurisdiction.  Their success in asserting those protections will depend on whether they are found to be the alter ego of the state.

[1] The U.S. District Court for the District of Columbia also confirmed an arbitral award that was nullified at the seat of the arbitration in Matter of Arbitration Between Chromalloy Aeroservices and the Arab Republic of Egypt, 939 F. Supp. 907 (D.D.C. 1996).  There, however, the court confirmed the award based on its finding that the award would not have been vacated under U.S. federal arbitration law, rather than applying an “extraordinary circumstances” test. This broad holding has been criticized and has not been followed.  See TermoRio, 487 F. 3d at 937.
[2] The Second Circuit also concluded that Pemex had waived its right to challenge personal jurisdiction based on its conduct in this case.

Chaffetz Lindsey Team Successfully Obtains Section 1782 Order Authorizing Discovery in Aid of Pending Proceedings in Brazil

June 2016 – A Chaffetz Lindsey team consisting of partner Andy Frischknecht and associate Jungmin Cho has successfully obtained a discovery order in the Southern District of Florida on behalf of our client Banco Safra, a Brazilian financial institution.  The federal district court’s order pursuant to 28 U.S.C. § 1782  authorizes the production of documents and the taking of depositions in Florida in aid of pending litigation in Brazil.  Andy and Jungmin are co-counseling in this matter with Janet Munn of Rasco Klock Perez & Nieto, P.L. in Miami.

James Hosking Appointed to AAA Committee

May 5, 2016 – Chaffetz Lindsey partner James Hosking has been appointed to the International Advisory Committee of the Council of the American Arbitration Association.  The newly-formed committee is tasked with advising the AAA and its international division the ICDR on issues relating to international arbitration rules, regional groupings, training, outreach and education.  The International Advisory Committee held its inaugural meeting on May 5 to coincide with the AAA’s annual Board meeting.

International Arbitration Involving Construction: Best Practices for Documenting Claims and Defenses

Chaffetz Lindsey Represents Liberia in Successful Resolution of Investment Treaty Dispute

March 2016 – Global Arbitration Review (GAR) has reported on the resolution of an investment treaty dispute between Canadian mining company Diamond Fields International and the Republic of Liberia.   Chaffetz Lindsey attorneys David Lindsey, James Hosking, Jennifer Permesly and Erin Valentine served as counsel to Liberia.

In its claim filed with the International Centre for the Settlement of Investment Disputes (ICSID) in May 2011, Diamond Fields alleged that Liberia had wrongfully terminated certain licenses granted to the company for the exploration of gold and diamonds in Liberia.  At the time that Diamond Fields was prospecting in Liberia, the country was recovering from 14 years of civil war and undergoing a significant governmental transition.  After several years of negotiations as well as several suspensions of the arbitration in light of the ebola crisis facing the country in 2014-2015, the parties eventually reached an agreement in February 2016 to dismiss the arbitration without prejudice to refilling.

“We are very pleased to have assisted Liberia in reaching an amicable resolution of this dispute,” Jennifer Permesly is quoted as saying.  “The claim dates back to a period during which the Liberian government was undergoing a significant transition, which always raises complex issues in investment treaty arbitration. The dismissal of the claim permits Liberia to focus its attention on the country’s ongoing development, including its impressive efforts to rebuild after the recent ebola crisis.”
